"Organon", will become an independent, publicly traded company in
2021 with its global and US headquarters to be based in Jersey

general vicinity of current Merck & Co., Inc.--locations.

DescriptionWe partner with the business to ensure we maintain our
company's values and high ethical standards, comply with the law,

will provide legal support and counseling for a broad range of
securities law issues. Position Responsibilities:
- Providing legal advice for the drafting and filing of the
company's securities law reports on Forms 10-k, 10-q and 8-k as
well as the company's annual Proxy Statement.
- Providing legal advice for treasury transactions, including
stock and or debt offerings as well as stock purchases.
- Work closely with management in investor relations, accounting
and communications preparing press releases and securities law
- Provide both transactional and strategic advice and counseling
to treasury, management and executive committee clients with
respect to key legal and business issues on complex matters.
- Negotiate and draft loan agreements, debt covenants and
supervise attorneys in support of same.
- Advise on relevant SEC and corporate laws impacting various
- Exercise judgment to drive decisions on routine and non-routine
matters within area of practice
- Build strong relationships with senior leaders of Company.
Education Minimum Requirement:
- Bachelor's Degree from an accredited institution.
- Graduate of an accredited US law school, with admission to the
Bar of Pennsylvania, New Jersey or another state. Required
Experience and Skills:
- Five (5) or more years of experience in a law firm or corporate
- Excellent teamwork, communication (written and oral) and
analytical skills, and a high degree of business acumen.
- Experience in managing a significant workload, with the ability
to juggle competing tasks in a fast paced and challenging
- Experience in operating independently in ambiguous
